Can I name my company anything?


There are certain rules around naming a company in Ireland. The name cannot be;


- Identical or similar to an existing company;

- Offensive; or

- Suggest state sponsorship.


We will check the name prior to company registration and will let you know if it can be used.


What information do I need to provide?


We try to keep our process as straightforward as possible and only need you to complete the form here and provide one piece of identification.


What is Limited Liability?


A limited company is subject to limited liability. This means a shareholder is only subject to the number of shares that they own.


Can anyone form a company in Ireland?


Yes.


If one director of a company is a European Economic Area (EEA) Resident, there are no restrictions.


If one director is not resident in the EEA, they are required to put a bond down with the CRO (Companies Registration Office).


What is a Director, and can anyone be appointed?


A director is an officer of a company and has legal obligations to act in the best interest of that company.


In order to be appointed a director, you must;

Be over 18;

Not currently declared bankrupt;

Not disqualified by a court;

Not a person who has failed to satisfy a court that they have acted dishonestly with regards to an investment company; and

Every company requires at least one director.


What is a company secretary?


A Company Secretary is responsible for ensuring that your company is compliant with all aspects of the companies act.


If the company only has one director, it must appoint a different individual as a director.

MyTax can act as a company secretary if required.


What is share capital?


Share capital refers to funds raised in exchange for ownership in a company.

Issued shares are the number of shares actually in use. We suggest a company issues 100 shares.


Authorised Share Capital is the number of shares a company may issue in the future. We recommend that this is kept at 100,000.


What is a registered address?


The registered office of a company is that to which CRO correspondence and all formal legal notices addressed to the company will be sent. The registered office can be anywhere in the State.


The address must be a physical location, not just a post office box number.

MyTax can offer a Dublin registered address if required.


What is a business name, and do I need one?


A business name is the registration of a name that the company would trade under. For example, Bloggs Ltd is a registered company but would like to trade under “Irish Plumber”.

In order to do this, it must register the name “Irish Plumber”.

If you are trading under the name of the company, this is not required.


What taxes do you register me for?


All companies must register for Corporation Tax with 30 days of trading.


We will register you for all relevant and chosen taxes e.g. Corporation Tax, VAT, PAYE, RCT, Income Tax etc


What is a company seal, and do I need one?


A company seal is a special stamp that has the company’s name engraved in it.


The companies act does state that a company should have a seal. In practice, the seal is not used for many activities.


What is the process and how long does it take to form a company?


The process is straightforward;


- Complete the form here and process payment;

- We will provide all documents for signature within 12 hours;

- Once signed, these documents must be returned to ourselves for review; and

- We then present these documents to the CRO;


The CRO takes between 2 – 5 working days to register a new company.


What documents do I receive?


Once registered, The CRO will issue a digital certificate of incorporation. We will also provide you with required statutory registers, board minutes and relevant share certificates.


Do I need to keep using MyTax as my accountant?


While a lot of clients do retain us to ensure they are compliant with accountancy and tax rules, there is absolutely no obligation to use MyTax.


We will also remind you prior to any annual returns are required, and again, there is no requirement to use us for filing these.


I have a question post-incorporation; will you charge me?


Absolutely not. We want to be available for our clients and ensure they are happy with our service. Feel free to ask us any question and any time.


How secure is your website?


Our website is fully encrypted and is maintained on a secure server. We use https and you can see a lock in the toolbar next to our name. Stripe processes all payments.


We do not store any credit card details or retain any information that is not required.
